Job Description
•Addressing SEBI regulations for listed entities involved in mergers
•Applying GST Act to amalgamation/arrangement schemes
•Analyzing Stamp Duty impacts on amalgamation/arrangement schemes
•Ensuring compliance with FEMA regulations in cross-border mergers
•Creating comprehensive slide decks analyzing merger and demerger proposals from tax and regulatory perspectives
•Drafting transactional documents such as Scheme of Amalgamation/Arrangement, Company Scheme Application/Petition, and Affidavits
•Understanding accounting treatments (AS-14/Ind AS-103) post-amalgamation/arrangement
•Handling divestment scenarios like Stake Sale/Slump Sale/Asset Sale
•Advising on Income Tax provisions (sections 45, 47, etc.) for divestments
•Ensuring regulatory compliance under Companies Act, FEMA Regulations, SEBI Regulations, and Stamp Duty implications
•Drafting agreements such as Term Sheets, Share Purchase Agreements, and Business Transfer Agreements
•Managing business reorganizations like conversion of companies to LLP or admission/retirement of partners from firms/LLPs
•Advising on Income Tax provisions (sections 9B, 45, etc.) and regulatory compliance for business reorganizations
•Drafting documents such as Conversion Agreements, Initial LLP/Partnership Deeds, and Reconstitution Deeds
•Conducting Financial & Tax Due Diligence, reporting discrepancies, and preparing Due Diligence Reports
•Conducting business valuations using income, asset, and market approaches according to Rule 11UA and Rule 11UAE
•Understanding instruments like equity shares and instruments convertible into equity shares
•Advising on Income Tax implications and regulatory compliance for fund repatriation (dividend, buyback, capital reduction, etc.)
•Managing FEMA Regulations for Overseas Direct Investment (ODI), Foreign Direct Investments (FDI), and Exchange Commercial Borrowings (ECB)
•Ensuring compliance with Non-Banking Financial Companies (NBFC) regulations prescribed by RBI
•Understanding International Taxation, Transfer Pricing compliance, and filing Form 15CA/CB
Job Locations - Mumbai (Andheri)
CTC: 10-13 lacs depending on the qualification, years of relevant experience and interview. It can be higher or lower depending on the candidate
Desired Candidate Requirement
Desired Qualification: CA
Years of experience - Post Qualification 1-2 years of experience
Candidate should possess below skills-
•Transaction structuring: Tax and regulatory perspective, option analysis, M&A scheme drafting, coordination with teams/lawyers, review of transaction documents, implementation, and compliance
•Restructuring advisory: Buyback, LLP Conversion, Slump sale, Instrument structuring
•Outbound and Inbound structuring: Optimal ownership/investment/funding structures, DTAAs analysis, corporate laws overview
•Research and analysis: Domestic and international tax, corporate laws, SEBI, FEMA, Competition Act, stamp duty laws
•Direct tax diligence: Scrutinizing past tax issues, compliance, preparing diligence reports
•Understanding of transaction-related laws: Income-tax, company laws, international tax, knowledge of FEMA, IBC, SEBI
•Tax and other valuation methods knowledge
•Proficiency in MS Word, PPT, Excel
•Keeping updated on industry trends, sharing articles
•Conduct the engagement in a professional manner and in accordance with client expectations and as defined by the terms and conditions of the contract
•Ability to handle multiple projects simultaneously & attention to
detail
•Build productive working relationships with clients
•Exhibit positive attitude and demonstrate willingness to learn
•Contribute and leverage knowledge from individuals, data base and other sources
